1. Introduction

RZ Digital Rankings ("Company", "we", "us") is a professional digital marketing agency based in India. These Terms & Conditions govern your use of our website and all services provided by us. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Acceptance of Terms

By using our website, signing a proposal, or making a payment, you confirm that you have read and accepted these Terms. If you do not agree, please discontinue use of our website and services immediately.

4. Scope of Services

RZ Digital Rankings provides the following digital marketing services:

All services are customised to each client's requirements. Specific deliverables, timelines, and pricing are outlined in individual proposals or service agreements.

5. Client Responsibilities

Clients agree to:

Provide accurate and complete business information required for service delivery.
Grant necessary access to platforms such as Google Search Console, Google Analytics, Google Business Profile, website CMS, advertising accounts, and social media profiles.
Respond to queries and approve deliverables in a timely manner. Delays from the client's end may impact project timelines.
Ensure all materials provided (content, images, logos) are legally owned or licensed by the client.
Make payments as per the agreed schedule. Non-payment may result in immediate service suspension.

6. Service Agreements and Timelines

All engagements are governed by a written proposal or agreement. Work begins upon receipt of the agreed advance payment. Timelines are estimates based on normal project conditions and may vary due to client delays, third-party platform changes, or technical complexities. Any changes to scope after commencement require a revised agreement and may incur additional charges.

7. Pricing and Payments

All prices are quoted in Indian Rupees (INR) and are exclusive of GST unless stated otherwise. GST-compliant invoices are issued for all transactions.

Retainer services are billed monthly, with payment due on or before the invoice date.
Project-based services require 50% advance payment, with the balance due on completion or at agreed milestones.
PPC/Advertising campaigns involve a management fee payable to RZ Digital Rankings, plus advertising spend paid directly by the client to the respective platforms (Google, Meta, etc.).

RZ Digital Rankings reserves the right to suspend services immediately upon non-payment. Outstanding dues remain payable regardless of service suspension.

8. Payment Gateway Terms

All online payments are processed securely through Razorpay, an RBI-authorised payment aggregator. By making a payment, you also agree to Razorpay's Terms of Service and Privacy Policy.

Transactions are encrypted via SSL/TLS. We do not store your card, bank, or UPI details.
Accepted payment methods include Credit/Debit Cards, Net Banking, UPI, and other modes supported by Razorpay.
In case of a failed transaction, the amount is typically returned to the original payment source within 5–7 business days.
GST-compliant payment receipts are sent to your registered email address upon successful payment.
Suspicious or potentially fraudulent transactions may be flagged and held for verification in accordance with RBI guidelines.

9. Refund and Cancellation Policy

As our services are customised and resource-intensive, refunds are not automatic and are governed by the following:

Advance payments are non-refundable once work has commenced.
Monthly retainer fees are non-refundable for the current billing cycle once services have been initiated.
If a project is cancelled before commencement, a partial refund may be considered after deducting administrative and preparatory costs.
Cancellations must be requested in writing to info@rzdigitalrankings.com with at least 15 days' notice before the next billing date.
Approved refunds are processed within 7–14 business days to the original payment method via Razorpay.
Advertising budgets already deployed to Google, Meta, or other platforms are non-refundable.

Dissatisfaction with organic search results or rankings alone does not constitute grounds for a refund. Please refer to Section 13.

10. Intellectual Property

Upon receipt of full payment, clients receive ownership of final deliverables created exclusively for them (website files, written content, graphics). RZ Digital Rankings retains ownership of all underlying methodologies, frameworks, and pre-existing intellectual property. Third-party assets (fonts, stock images, plugins) remain subject to their original licence terms. No deliverable may be used or published until full payment is received.

11. Confidentiality

Both parties agree to keep all shared business information — including strategies, login credentials, pricing, and client data — strictly confidential. This obligation applies during and after the engagement. We will not share your information with unauthorised third parties.

12. Third-Party Services

Our services may involve third-party platforms such as Google, Meta, WordPress, Semrush, and others. We are not responsible for their performance, policy changes, or downtime. Changes to third-party platforms or algorithms do not entitle the client to a refund of fees paid.

13. No Guarantee of Rankings or Results

RZ Digital Rankings does not guarantee specific search engine rankings, website traffic, leads, conversions, or revenue. Any projections shared during onboarding are indicative only and not binding commitments.

Search engines are independent platforms that update their algorithms frequently. Results depend on many factors beyond our control — including competitor activity, domain history, and website technical health. We apply industry-best, white-hat practices and work diligently toward your goals, but outcomes and timelines vary by business.

14. Compliance with Search Engine Guidelines

We follow ethical, white-hat digital marketing practices in line with Google's Webmaster Guidelines and all relevant platform policies. We do not and will not engage in black-hat tactics such as cloaking, paid link schemes, keyword stuffing, or fake reviews. Client requests for such practices will be declined. If a client independently pursues such tactics, RZ Digital Rankings bears no responsibility for any resulting penalties or account suspensions.

15. Limitation of Liability

To the extent permitted by law, RZ Digital Rankings is not liable for indirect, incidental, or consequential damages, including loss of profit, revenue, or data. Our total liability to any client shall not exceed the fees paid in the three months prior to the relevant claim.

16. Termination

Either party may terminate services with 15 days' written notice. All outstanding invoices must be cleared at the time of termination. RZ Digital Rankings may terminate immediately, without refund, in cases of non-payment, breach of these Terms, or fraudulent conduct by the client. Upon termination, all client-owned credentials and data will be returned.

17. Data Protection and Privacy

We handle personal data in accordance with the Information Technology (Amendment) Act, 2008 and the Digital Personal Data Protection Act, 2023. Personal data is used solely for service delivery, billing, and communication. We do not sell or share your data with unauthorised parties. 18. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, power failures, or internet outages. We will notify you promptly of any such event. If the situation persists beyond 30 days, either party may terminate the agreement in writing.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts of India.

20. Modifications

We reserve the right to update these Terms at any time. Significant changes will be communicated to active clients via email. Continued use of our services after updates are published constitutes acceptance of the revised Terms.
